Entire Agreement: This Agreement forms the entire understanding between Studio Tallou and the client. It supersedes all prior agreements between the parties. Changes to this agreement can only be actioned when such changes have been added in writing to this agreement and signed by both parties.
Reservations and Deposit: A signed contract and non-refundable deposit of $500.00 are required to reserve the specified wedding date for the services of Studio Tallou. Reservations are only confirmed once payment of the deposit is received.
The deposit amount of $500.00 will be included in the total amount payable to Studio Tallou under this contract. Studio Tallou’s minimum order is $1,000.00 (exclusive of delivery and labour). After payment of deposit additions to the order can be made (if agreed to by Studio Tallou), however, the order total cannot be reduced below $1,000.00 (exclusive of delivery and labour). If additions to the order are to be made, adjustments to individual item prices may be necessary based on material availability and costs.
Payments: The remaining balance will be the total amount payable, less the deposit amount. Payment of total amount owed is due on or before the date 2 weeks prior to the event date. Failure to finalise payment prior to this date will result in the termination of this contract, and Studio Tallou will not be required to provide any goods or services to the client.
Payments can be made in instalments or as a lump sum with a bank transfer to our provided bank details.
Change of Dates or Cancellation Policy: To cancel an order or booking, you will need to notify Studio Tallou in writing as soon as possible. Cancellations made on or before the date 2 weeks prior to the event date will receive a full refund on any money paid, excluding the non-refundable deposit of $500 and any costs already paid by Studio Tallou prior to notice of cancellation, under this contract.
Client Orders: The client is responsible for reviewing their order, including any event details such as date, location, times etc. Any changes or corrections needed to be made to such details must be submitted to Studio Tallou in writing.
The client must notify Studio Tallou of any desired changes to orders in writing, at least four weeks prior to the event date. If the change to the order attracts additional costs, this will be added to the total amount payable. It is the client's responsibility to verify that changes made to the order have been received and actioned by Studio Tallou.
Substitution of Florals: All fresh materials are subject to availability and quality. Studio Tallou will strive to use flowers and foliage requested and/or listed on the order, however, due to the perishable nature of the product, substitutions may be necessary. Studio Tallou reserves the right to make needed changes without approval if deemed necessary to deliver the best quality work. We will maintain style, theme and colour scheme, while using flowers of equal or greater value. Accordingly, we also reserve the right to artistic license in design, in reaching the clients desired aesthetic, whilst upholding the quality of the work delivered. If the client has requested specific varieties of flowers, Studio Tallou reserves the right to make substitutions, to assure maximum quality in materials, when varying conditions affect availability and freshness. Flowers are a natural product and variables such as exact shade and head size cannot be guaranteed. As trained florists, Studio Tallou will use our professional knowledge, experience and education to provide colours and flower types that are as close as possible to the clients choices within the constraints of time, budget and availability of such materials. Studio Tallou may substitute any items due to last minute changes or additions to orders. The client acknowledges that they may not be notified if substitutions are made.
Item Hire: Studio Tallou can provide a ‘Bump Out’ service at an additional fee to pack down and return all items hired from Studio Tallou after the event. If this service has not been requested and paid for, the onus is on the client to arrange pack down at the venue and return of the hire items to Studio Tallou at 21 Granada Avenue Macquarie Hills, or Throsby Storage at Carrington Newcastle. The address will be confirmed in an email along with a list of all hire items to be returned. In the event that a hire item has been damaged or not returned, the client will be charged a fee equal to the retail price of the item plus a delivery.
Items Provided to Studio Tallou: Studio Tallou will take the utmost care of your items, however as accidents may occur, any damage or breakage during handling or use will not be the responsibility of Studio Tallou. We advise providing extras of the items in case such breakage occurs.
All items must be provided in a clean and ‘ready-to-use’ condition, and should be unboxed, unwrapped without any labels or stickers on them. A fee of $35.00 per hour may be charged to your total amount payable for any labour services provided by Studio Tallou in making items ‘ready-to-use’.
It is the client’s responsibility to provide Studio Tallou with a list of the items you will be providing to us to use or set-up, along with photos.
Delivery and Set-Up: Any additional deliveries or set-ups on the day of the event that are not specified in the client’s order prior to the day, will attract an additional set-up or delivery fee. For any delays experienced in Set- Up, Deliveries or Pick-Up, that are caused by other parties (including but not limited to; venue, wedding party, stylist or caterer) an additional fee of $35.00 per hour per on-site Studio Tallou staff member will be charged.
Receiving Delivery: The client will accept/sign for the delivery and confirm all items on the order are accounted for. In the event the client is unavailable during the scheduled delivery or pick-up, the client will nominate a person to accept and sign for the delivery on their behalf and confirm all items on the order are accounted for. If there is failure to meet with the delivery person, Studio Tallou is not responsible for any damage, theft or missing items that may occur after delivery, and the client hereby releases Studio Tallou of any liability in the event that the Client or or Designated Person cannot be located/does not sign-off on delivery.
Photography: By signing this Contract, the client grants Studio Tallou permission to use photos from the event for the purpose of advertisement promoting Studio Tallou and our services. Appropriate credit will be provided for photos where images are provided by your allocated photographer. Permission is granted for Studio Tallou to use and publish images of all event attendees (including staff/vendors present), flowers and decor involved in the event for editorial, trade, advertising, website and social media use to promote Studio Tallou. For the purpose of our own portfolio and for proof of delivery, Studio Tallou may document aspects of your event using photography and video.
Venue Policy: It is the responsibility of the client to provide a copy of any rules and regulations of all event sites to Studio Tallou.
Extreme Conditions: Studio Tallou will deliver flowers and/or hire items for your event in a timely manner under all reasonable conditions. Studio Tallou will not be liable for delay or the inability to deliver flowers and/or hire items due to traffic accidents, road closures, severe weather conditions or other acts of nature or war.
Incapacitation: In the event of the incapacitation of any of the primary staff for the contracted event, a suitable replacement will be secured. If a replacement cannot be secured in time for the event a refund of monies paid will be issued.
Limitation of Liability: Studio Tallou’s liability is limited to the amount the client has paid for the event contracted. Liability is limited to refund of monies paid in the event of fire, natural disaster, tragedy or any other emergency.
Responsibility: Upon acceptance of delivery and signature for possession by the Client or their Designated Person on the day of the event, Studio Tallou’s responsibility of care (including maintenance, quality and/or longevity of flowers) ceases.
Arbitration: Any dispute or difference arising out of or in connection with this contract shall be determined by the appointment of a single arbitrator to be agreed between the parties, or failing agreement within fourteen days, after either party has given to the other a written request to concur in the appointment of an arbitrator, by an arbitrator to be appointed by the President or a Vice President of the Chartered Institute of Arbitrators. Unpaid fees by the client shall be exempt from arbitration and settled via Small Claims Court or other appropriate means.
Force Majeure: Studio Tallou will be relieved from any obligation or other liability under this contract to the extent that any failure to perform or provide service has been caused by force majeure, including Acts of God, war, civil disturbance, government action, labour disputes or any other cause beyond Studio Tallou’s reasonable control.
Studio Tallou reserves the right to cancel this contract at any time if we feel that the obligations stated in this contract cannot be met.
